Terms and conditions

1. SAFETY NOTE

   The goods manufactured by Replica Ltd (Replica or us) are for display purposes only and are not to be considered as toys and/or playthings under any circumstances. Replica takes no responsibility for any harm which may befall any person attempting to chew or swallow any goods manufactured by Replica.

2. QUALITY

   Replica warrants only that its goods comply with specifications agreed previously with the purchaser. This includes all warranties, conditions and representations, whether expressed or implied by statute, usage, trade, custom or otherwise, which relate to the quality or nature of the goods, their condition, life expectancy or suitability for any particular purpose or in specific conditions. This applies in accordance with The Unfair Contract Terms Act 1977.

3. INVITATION TO TREAT

   Replica's website only provides an invitation to treat, and is not an offer by us. Any enquiry or order placed by you shall be deemed to be an offer by you which we may, at our choice, accept.

4. ORDERS.

   Replica requires an official order or written confirmation from all clients to be received prior to the commencement of any work and/or the despatch of any goods. Where the client is not entitled to 30 days credit, payment with order is required.

5. SPECIALS.

   Replica will not be held to any costing given as an estimate. All costings will be confirmed in writing before the commencement of any production. Where a brief is changed after this confirmation has been given, the client must agree to any changes in cost prior to the continuation of work on the altered specification.

6. STANDARD PACKS.

   Every effort is made to ensure that each pack type or set is supplied as listed. However, Replica reserves the right to substitute similar items where stock is unavailable.

7. PRICES.

   All prices are exclusive of VAT which is chargeable at the current rate. Replica makes every attempt to contain costs but reserves the right to amend its prices at any time. The client will be notified of the amended price prior to the despatch of their order.

8. DELIVERY.

   Postage and packaging will be charged on all orders not collected from Replica. Delivery will be by overnight service or post once the goods are ready, unless otherwise specified by the client. Delivery dates are given as guidelines. Replica can not be held to any such dates, although every effort is made to despatch orders within 14 days of receipt of order.

9. FORCE MAJEURE.

   Where delivery of goods is delayed by such external forces as strikes, lockouts, fire, accidents, delays in receipt of raw materials or components, riots, industrial action or any other cause beyond the reasonable control of Replica, delivery will be subject to these external forces and altered accordingly. Where alternative means of delivery prove unavoidable, the client will be charged for such reasonable extra costs incurred due to the delay.

10. CANCELLATIONS

    Replica reserves the right to refuse cancellation of any order not agreed to in writing by Replica. Where a cancellation is agreed the client will incur all costs for any production up to and including the date of cancellation.

11. CLAIMS

    Any damages and/or shortages must be reported immediately and confirmed in writing within 2 days of receipt of goods to Replica Ltd, Unit 2, Ashridge Business Centre, Ashridge Road, Chesham, HP5 2PT. While Replica operates a no quible policy with regard to timely claims, the principle of "trust but verify" has to apply. Replica therefore reserves the right to require the return of goods claimed as damaged and may at its absolute discretion charge full price both for any replacements and for any goods claimed as damaged which are not made immediately available for return to Replica.

12. RETURNS

    We operate a strict no returns unless goods are damaged policy. Any goods that arrive damaged and reported as such in the specified time frame with evidence such as a photograph will be refunded. As per the ‘Claims’ section on the T&C’s and on the delivery note any damages should be reported immediately and then in writing within 2 days.

13. PAYMENT

    Clients operating on a 30 day account must remit within 30 days of invoice date. If this date is exceeded, Replica reserves the right to charge interest at the annual rate of 4% above Barclays Bank Plc Base Rate without prior notification, and to terminate credit facilities for non-compliance with these terms. Replica reserves the right to request pre-payment in advance of delivery and to refuse delivery, whether the goods in question are or are not ordered under contract, without incurring liability for non- delivery or delayed delivery. Replica retains title to all goods until payment for the said goods has been received and cleared through its bank account. Replica reserves the right to pass on to the customer all bank charges related to the receipt of funds.

14. DATA PROTECTION ACT

    We may transfer information about you to our bankers/financiers for the purposes of providing services and for the following purposes:- obtaining credit insurance, making credit reference agency searches, credit control, assessment and analysis (including credit scoring, market, product and statistical analysis), securitisation, and or protecting our interests. We will provide you with details of our bankers/financiers and that of any credit reference agencies used on request.

15. EXPORT

    Where credit facilities have not been established, payment for all goods to be exported from the UK must be received before any goods can be despatched. All orders exported are subject to carriage. Shipments to EC countries are subject to UK VAT unless the client can provide a valid EC VAT number.

16. LAW

    The validity, construction and perform ance arising out of and/or in connection with this contract shall be governed by English Law.
